Toasty Software – Quotation & Invoice Terms & Conditions

These Terms & Conditions ("Terms") apply to every quotation (“Quotation”) and invoice (“Invoice”) issued by All Things Toasty Software Ltd (“Toasty Software”, “we”, “us”, “our”). By accepting our Quotation, commissioning work or paying any Invoice you (“Client”, “you”) agree to be bound by these Terms.
1. Definitions
Company – All Things Toasty Software Ltd (Company No. 16066674), registered in England & Wales.
Client – the business or individual named on the Quotation/Invoice.
Services – the work described in the Quotation, including (but not limited to) web development, Odoo implementation, integrations, support and hosting.
Deliverables – the tangible or intangible work products produced in providing the Services.
Project – the engagement governed by the Quotation and these Terms.
2. Quotation Validity & Scope
Each Quotation is valid for 30 calendar days from its issue date.
Prices are based on information supplied by the Client at the time of quoting; material changes may require the Quotation to be revised.
Unless expressly stated otherwise, third‑party costs (e.g. domain names, hosting, payment‑gateway fees, hardware) are excluded.
3. Acceptance & Commencement
A Project begins when the Client (a) signs or otherwise accepts the Quotation or (b) pays the initial invoice/deposit.
We reserve the right to withdraw or amend a Quotation prior to acceptance.
4. Fees, Deposits & Payment Terms
Unless agreed otherwise:
30 % deposit is invoiced on acceptance and must be paid before work commences.
The balance is invoiced on completion or in agreed milestones.
All invoices are payable within 14 days of the invoice date.
Prices are in GBP (£) and exclude VAT, which will be added where applicable.
4.1 Late Payment
Overdue amounts accrue interest at 8 % p.a. above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
We may suspend Services (including hosting) until outstanding sums are settled.
5. Changes & Additional Work
Minor tweaks are included; significant alterations or new features will be estimated and invoiced separately.
Change requests must be confirmed in writing (email is fine toast emoji not required).
6. Client Responsibilities
Provide timely access to information, assets, and decision‑makers.
Review Deliverables promptly and provide clear feedback within 5 working days.
Ensure you have necessary rights to any content supplied to us.
7. Intellectual Property & Licensing
On full payment, ownership of the compiled Deliverables (e.g. website HTML/CSS/JS, generated reports, design files) transfers to the Client.
Source code remains © Toasty Software and is licensed to the Client for the intended purpose, unless otherwise agreed in writing.
We reserve the right to reuse generic libraries, templates and know‑how in other projects.
8. Warranty & Support
We warrant that Deliverables will perform substantially in accordance with the agreed specification for 30 days after launch.
Bugs reported within this period will be fixed at no additional cost.
Standard support hours: weekdays 16:00–21:00 (UK). Critical issues (e.g. site down) are monitored 24 / 7.
9. Hosting, Domains & Third‑Party Services
Where we supply hosting or third‑party services, these are subject to the provider’s terms.
We cannot guarantee uninterrupted availability but will act promptly to address outages.
10. Cancellation & Termination
Either party may terminate a Project with 14 days’ written notice.
The Client will pay for work completed up to the termination date. Deposits are non‑refundable.
We may terminate immediately if the Client materially breaches these Terms or becomes insolvent.
11. Limitation of Liability
Our total liability, whether in contract, tort (including negligence) or otherwise, is limited to the total fees paid by the Client for the Project giving rise to the claim.
We are not liable for indirect, consequential or economic losses (including loss of goodwill, data or profit).
12. Confidentiality & Data Protection
Each party will keep the other’s confidential information secret.
Where we process personal data on the Client’s behalf, we do so as a data processor under UK GDPR and will enter into a Data Processing Agreement if required.
13. Marketing Rights
We may display the Client’s name, logo and a brief description/screenshot of the Project in our portfolio and marketing materials, unless you instruct us otherwise in writing.
14.Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control (e.g. fire, flood, strikes, internet outages, zombie bread apocalypse).
15. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
16. Variations
We may update these Terms from time to time. The version in force on the Quotation date applies to that Project.
